1. Acceptance of Terms

By accessing this website or engaging CodeSquad Solutions for any services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or engage our services. These Terms constitute a legally binding agreement between you ("Client") and CodeSquad Solutions ("Company", "we", "us", or "our"), a software services company operating in Bangalore, Karnataka, India.

We reserve the right to update these Terms at any time. Continued use of our website or services after such changes constitutes acceptance of the revised Terms. We will indicate the date of the most recent update at the top of this page.

2. Services Provided

CodeSquad Solutions provides custom software development, AI automation systems, web and mobile application development, UI/UX design, SaaS product development, and related digital consulting services. The specific scope of services for any engagement will be defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties. Nothing in these Terms creates an obligation for CodeSquad Solutions to provide any specific service unless a separate written agreement has been executed.

3. Project Engagement

Each project begins with a discovery call and is formalized through a detailed project proposal or SOW that outlines deliverables, timelines, milestones, and pricing. The scope of work is fixed at the time of agreement. Any changes to the scope — including additional features, revised requirements, or expanded deliverables — constitute a change request and will be assessed for additional time and cost before implementation.

The Client is responsible for providing timely feedback, approvals, and any necessary access to third-party accounts or resources required for project completion. Delays caused by the Client's failure to provide timely inputs may affect delivery timelines, and CodeSquad Solutions shall not be held liable for such delays.

4. Payment Terms

All projects are billed on a milestone basis as defined in the project proposal. Invoices are payable within 14 days of issuance unless otherwise agreed in writing. A non-refundable advance (typically 30–50% of the total project value) is required before work commences. Late payments attract an interest charge of 1.5% per month on the outstanding balance.

Refunds are not provided for completed milestones or work already delivered. In the event of project cancellation by the Client, payment is due for all work completed up to the cancellation date, plus any non-recoverable third-party costs incurred. Any refund for advance payments on uncompleted work will be evaluated on a case-by-case basis at our sole discretion.

5. Intellectual Property

Upon receipt of full and final payment for a project, all custom code, designs, and deliverables created specifically for the Client become the Client's property. CodeSquad Solutions retains the right to showcase completed work in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing prior to project commencement.

CodeSquad Solutions retains ownership of any proprietary tools, frameworks, libraries, or methodologies developed independently and used in delivering client projects. Any third-party open-source components incorporated into deliverables remain subject to their respective open-source licenses. We will inform clients of any significant open-source dependencies.

6. Confidentiality

CodeSquad Solutions treats all client information — including business ideas, product plans, technical specifications, user data, and financial information — as strictly confidential. We will not disclose such information to third parties without the Client's prior written consent, except as required by law. Upon request, we are prepared to execute a mutual Non-Disclosure Agreement (NDA) before any sensitive discussions begin.

During project engagements, we may have access to the Client's systems, databases, and credentials. We commit to accessing only those systems necessary for project delivery and to maintaining appropriate security practices at all times. All credentials will be securely managed and returned or destroyed upon project completion.

7. Limitation of Liability

To the maximum extent permitted by applicable law, CodeSquad Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of profits, data, or business opportunities. Our total liability under any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim in the 12 months preceding the event.

We do not warrant that software delivered will be entirely free of bugs or errors. We provide a warranty period (as specified in the project agreement) during which we will fix defects at no additional charge. Beyond this warranty period, maintenance and bug fixes are subject to a separate support agreement.

8. Dispute Resolution

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Karnataka, India. The parties agree to first attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall take place in Bangalore, Karnataka, and be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination, the Client is responsible for payment of all work completed up to the termination date. CodeSquad Solutions will deliver all completed work and any work-in-progress materials to the Client upon receipt of outstanding payments. We reserve the right to immediately suspend or terminate services if a Client engages in abusive conduct toward our team, violates these Terms, or fails to make payment after reasonable notice.
